Kim & Chang represented Affirma Capital in its sale of EMC Holdings Co., Ltd. (“EMC Holdings”) to SK Engineering and Constructions Co., Ltd. for KRW 1.05 trillion.

EMC Holdings provides comprehensive waste management services, including water treatment, construction waste management, waste incineration, waste landfill and waste oil treatment.  Leveraging extensive expertise in the environmental sector, we assisted Affirma Capital to proactively identify and analyze relevant issues through a comprehensive vendor due diligence and ensured a smooth bidding and sales process through proper and sufficient disclosure of information to numerous bidders which the transaction had attracted.  We also provided comprehensive advice to Affirma Capital to negotiate transaction documents and assistance to consummate the transaction.

In addition, we advised Affirma Capital in connection with reorganization of certain aspects of the governance structure of EMC Holdings, which was comprised of over ten subsidiaries, prior to the consummation of the sale in order to meet the needs of Affirma Capital and the acquiring party.  We ensured such reorganization was completed without delay for timely consummation of the sale.
