Kim & Chang acted as transaction counsel to the sellers in the transaction where Kohlberg Kravis Roberts & Co. (“KKR”) and TY Holdings sold all of the shares of ECORBIT to the IMM Private Equity - IMM Investment consortium. ECORBIT is South Korea’s leading company in environmental fields such as waste landfill, incineration, water treatment and soil remediation.
This transaction, with a deal value of approximately KRW 2.7 trillion, is not only the largest M&A deal of the year but also the largest of M&A transactions in waste management companies. Our firm provided comprehensive advice throughout the entire transaction process by, among others, addressing and balancing a wide range of complex legal and tax issues, which an international PE sponsor such as KKR and a domestic player such as Taeyoung may face in connection with the transaction, as well as assisting sellers in discussing and negotiating with their respective lenders with respect to the existing financing and collateral.
