HK Inno.N’s IPO and Listing on the Korea Exchange’s KOSDAQ Market

Kim & Chang represented a number of banks acting as underwriters for HK Inno.N Corp’s (the “Company”) initial public offering and listing of its shares on the KOSDAQ market of the Korea Exchange (the “IPO”). 

The IPO was comprised of both domestic sales tranche (for domestic retail and institutional investors) and international sales tranche (for offshore institutional investors).  The IPO consisted of the Company’s issuance and sale of 5,781,000 shares and the sale of 4,336,000 existing shares held by Medica Holdings Co., Ltd., Odin 10, LLC, and STIC Special Situation Healthcare Ltd.

In connection with the IPO, Kim & Chang (i) advised on the reverse triangular merger between HK Inno.N and CKM Inc., the Company’s parent company established in 2018 for Korea Kolmar Group’s acquisition of CJ Healthcare, as a pre-listing procedure, (ii) consulted the regulatory authorities (including the Korea Exchange) during the course of preliminary listing eligibility examination, (iii) assisted and advised the Company in communicating and negotiating with its existing shareholders before the IPO (iv) assisted and advised the Company in complying with the listing procures and requirements for the IPO, and (v) otherwise assisted and advised the Company in all aspects of the IPO (including reviewing and negotiating the transaction documents, disclosure and publicity documents).
