Key Servicesshow

Transaction Structuring

An important first step to facilitate a successful M&A transaction is to develop an optimal structure for the transaction, accounting for the jurisdictions of the parties, the target company’s industry, the acquirer’s internal objectives and tax implications. At Kim & Chang, we pride ourselves on assisting our clients to arrive at transaction structures that provide the best results, in both domestic and outbound transactions.

Due Diligence

Our M&A lawyers collaborate with Kim & Chang’s other practice groups to conduct comprehensive due diligence, including reviews of tax, fair trade, real estate, labor and employment, environment, litigation and intellectual property matters. This interdisciplinary approach allows us to identify and resolve issues at an early stage and set the groundwork for a successful transaction from execution through post-merger integration.

Transaction Documents

With our extensive experience and know-how, Kim & Chang’s M&A lawyers service our clients in drafting, reviewing and negotiating transaction documents in Korean, English or other languages as necessary.

Closing

Our M&A Practice liaises closely with government authorities to facilitate necessary filing, registration and approval processes. Our large and experienced team of lawyers and other professionals, such as accountants and tax experts, obviates the need for our clients to engage third party service providers and enhances our ability to successfully close transactions without compromising confidentiality.

PMI (Post-Merger Integration)

Our M&A clients increasingly emphasize post-transaction integration, such as organizational restructuring, personnel matters, system integration and other measures to create shareholder value and maximize managerial performance. Our M&A Practice provides a comprehensive one-stop service for PMI matters, including assistance with successful PMI planning, in collaboration with Kim & Chang’s other practice groups.
